1. Agreement Overview

These Terms & Conditions ("Terms") govern your use of Accord Blueprint, an AI-powered business assessment service provided by Third Mind Kft. ("we," "us," "our," or "Third Mind"), a Hungarian private limited company with cégjegyzékszám [INSERT Cg. xx-xx-xxxxxx] and adószám HU[INSERT 8 digits], registered seat at [INSERT Hungarian address], operating the website 3rdmind.co.uk.

By purchasing a package of Accord Blueprint, you ("Customer," "you," or "your") agree to be bound by these Terms. These Terms form a legally binding contract between you and Third Mind. If you do not agree with any part of these Terms, you must not use the service.

Where the Customer is an organisation, the individual purchasing or authorising the purchase ("Primary Contact") warrants they have authority to bind the organisation to these Terms.

2. Definitions

In these Terms, the following terms have the meanings set out below:

  • Accord Blueprint: Our AI-powered business assessment service.
  • AI Interview: A structured, guided conversation conducted by an AI agent (Accord) with a nominated team member, lasting around 30–45 minutes, designed to gather information about business processes and readiness for AI adoption.
  • Blueprint Report: The final management-ready report generated by our system, containing findings, analysis, and recommendations for AI adoption within your organisation.
  • Customer: The individual or organisation that has purchased a package of Accord Blueprint.
  • Nominee: A team member nominated by the Primary Contact to participate in an AI Interview.
  • Primary Contact: The individual authorised to purchase Accord Blueprint and nominate team members for interviews on behalf of the Customer.
  • Interview: An allocated slot for a team member to participate in an AI Interview.
  • Service: The entire Accord Blueprint offering, including AI Interviews, analysis, and the Blueprint Report.
  • User Data: Any information, documents, or data provided by the Customer to enable delivery of the Service, including interview responses and uploaded business documents.
  • Statement of Work: A separate signed document agreed between Third Mind and an Enterprise Customer, setting out the bespoke scope, price, interview count, SLAs and any variations to these Terms.

3. Service Description

Accord Blueprint is a structured AI-powered assessment service designed to evaluate your organisation's readiness for artificial intelligence adoption.

How the Service Works

The Service operates in the following stages:

  • Preparation: You nominate up to the number of team members included in your purchased package to participate in AI Interviews. You may also upload relevant business documents for analysis.
  • AI Interviews: Each nominated team member participates in an AI Interview lasting around 30–45 minutes. The AI agent (Accord) conducts a structured conversation covering business context, current processes, challenges and AI adoption readiness. Each participant is told before the interview begins that they are talking to an AI, not a human.
  • Analysis: Our system analyses interview data, uploaded documents, and your business context to identify opportunities, risks and a tailored roadmap for AI adoption. Findings are aggregated across participants — individual responses are not attributed in the report.
  • Report Delivery: You receive a Blueprint Report, formatted for senior management consumption, within 24 hours of the final interview being completed by the last nominated team member.

The Blueprint Report is advisory in nature and is intended to inform your organisation's strategic discussions about AI adoption. The report does not constitute professional business or legal advice.

4. AI Transparency & EU AI Act Compliance

We are committed to transparent use of artificial intelligence. This section explains how AI is used in Accord Blueprint and how we comply with EU AI Act requirements.

AI Systems in Use

Accord Blueprint uses large language model (LLM) technology — specifically Anthropic's Claude — accessed through Amazon Bedrock in the EU region (Frankfurt). AWS (Europe) SARL is our data sub-processor for this service.

The AI Interview system uses Claude on AWS Bedrock EU to conduct guided conversations with your nominated team members.

The report generation system uses the same model to analyse interview data and produce written findings and recommendations.

All processing and storage stay within the EU/EEA.

Disclosure and Consent

Nominees are clearly informed before each AI Interview that they are interacting with an AI system, not a human interviewer. This disclosure occurs at the outset of each interview session and again in the opening message of the conversation. No deception is used in the Service.

Risk Classification

Under the EU AI Act (Regulation (EU) 2024/1689), Accord Blueprint is classified as a limited-risk AI system. It is a chatbot subject to Article 50(1) transparency (we tell every participant they are talking to an AI) and generates AI-produced text subject to Article 50(2) marking (our reports are marked as AI-generated).

Accord is not a high-risk system under Annex III because its output is organisational and aggregated, and its use for employment-related decisions about identified individuals is contractually prohibited (see §11A). If Third Mind becomes aware that a Customer is using the Blueprint in breach of §11A, Third Mind will assess whether reclassification is required and may suspend the engagement.

Nature of Output

The Blueprint Report is explicitly advisory and informational. It does not generate automated decisions affecting rights, legal obligations, or significant consequences for individual employees. All recommendations in the report are subject to your organisation's independent review and decision-making.

Right to Human Review

If you believe that the AI-generated report contains errors, misinterpretations, or concerns about its accuracy, you may request a human review of specific findings. Please contact us at hello@3rdmind.co.uk with details of your concern, and we will arrange a review by a Third Mind team member within 14 days.

Data Processing

All data processed by our AI systems is handled in accordance with GDPR and our Privacy Notice (3rdmind.co.uk/privacy). Interview content and uploaded documents are processed solely to deliver the Service. AWS Bedrock EU does not use your content to train or improve AI models, and we do not use your content to train or improve any model. Inputs and outputs are not retained in the Bedrock model infrastructure after the API call completes.

5. Purchasing, Pricing and VAT

Accord Blueprint is offered in tiered packages, with the option to purchase additional interviews on the Starter and Growth tiers. Enterprise engagements are bespoke.

Payment Terms

Accord Blueprint is purchased on a one-time payment basis. No ongoing subscription is required. Payment is non-refundable except as specified in §7 (Refund Policy) and §6 (Guarantees).

VAT

All prices are listed excluding VAT. The VAT treatment depends on where you are and whether you are buying as a business or as a private consumer.

  • Business customers (B2B) inside the EU with a valid VAT number: invoiced at 0% VAT under the reverse-charge mechanism (EU VAT Directive 2006/112/EC, Article 196). You self-account for VAT in your own country at your local rate. We will validate your VAT number via the EU VIES portal before issuing the invoice.
  • Business customers (B2B) in the United Kingdom: invoiced at 0% VAT under the UK B2B reverse-charge rule for general services. You self-account for UK VAT (currently 20%) on your own return.
  • Business customers without a valid EU VAT number: invoiced with Hungarian VAT at 27% (no reverse charge available).
  • Consumer customers (B2C) in Hungary: invoiced at the Hungarian standard VAT rate of 27%.
  • Consumer customers (B2C) in other EU countries: invoiced at your country's standard VAT rate, collected and remitted by Third Mind through the EU One-Stop Shop (OSS) scheme. Below the EU-wide €10,000 cross-border B2C threshold per calendar year, Hungarian VAT at 27% may apply instead.
  • Consumer customers (B2C) in the United Kingdom: invoiced at the UK standard rate (currently 20%) under the UK VAT registration that Third Mind maintains for B2C digital services.

The final price including any applicable VAT is shown at checkout before payment. If you require a purchase order, named-recipient invoice, or specific accounting reference, contact billing@3rdmind.co.uk before placing the order.

Invoice and Receipt

A receipt and invoice will be provided to the Primary Contact following successful payment. Invoices are issued by Third Mind Kft. and contain all information required under Hungarian Act CXXVII/2007 on VAT and Hungarian Act C/2000 on accounting.

Enterprise — Statement of Work

Enterprise engagements are priced individually following a scoping call. A signed Statement of Work sets out the exact scope, price, interview count, SLAs and any variations to these Terms and prevails over §5 to the extent of any conflict.

6. Four Guarantees

We stand behind Accord Blueprint with four core guarantees:

Guarantee 1: 24-Hour Delivery

Your Blueprint Report will be delivered to the Primary Contact within 24 hours of the final interview being completed by the last nominated team member.

If we fail to meet this deadline due to our actions or systems, you are entitled to a full refund of the amount paid for your Accord Blueprint package. Narrow force-majeure exceptions apply — see §13.

Guarantee 2: 14-Day Satisfaction Guarantee

We stand behind the quality of your Blueprint Report. If you are not satisfied for any reason, email hello@3rdmind.co.uk within 14 days of receiving your report. You do not need to justify your reason. We will confirm receipt within 2 business days and refund in full within 14 business days.

Guarantee 3: Full Ownership

You own all intellectual property rights in your Blueprint Report and the findings it contains.

You may share, distribute, reproduce, and create derivative works from your report with any third party, external consultant, developer, or internal team member without restriction or additional cost. Third Mind makes no claim to ownership of your report.

Guarantee 4: Specificity (No Templates)

Every finding, recommendation, and insight in your Blueprint Report is tied directly to your organisation's specific data, interviews, and context.

Your report is not a template, generic framework, or pre-written document. It is generated specifically for you based on the AI Interviews conducted and documents you provide.

If you believe the report contains generic template content rather than findings specific to your interviews and data, contact us at hello@3rdmind.co.uk within 14 days of receipt. We will review your claim and provide either a corrected report or a full refund.

7. Refund Policy

Third Mind is committed to customer satisfaction and compliance with EU consumer protection law, including the Consumer Rights Directive (2011/83/EU) as transposed in Hungary by Government Decree 45/2014 (II.26.) and in the UK by the Consumer Contracts Regulations 2013.

Cooling-Off Period

If you are a consumer (an individual purchasing for personal use), you have a 14-calendar-day right of withdrawal from the date of purchase with no questions asked. This right applies even if you have begun using the Service.

If you are a business customer (purchasing Accord Blueprint for your organisation), the 14-day cooling-off period applies unless explicitly waived in writing at the time of purchase.

Exercising Your Right to Refund

To request a refund within the 14-day period, contact hello@3rdmind.co.uk with your order reference and reason for the refund request. You do not need to provide detailed justification during the cooling-off period.

Refund Processing

Once a valid refund request is received, we will process the refund within 14 business days. Refunds are issued to the original payment method. Any transaction fees charged by payment processors are the responsibility of the payment provider.

The Four Guarantees

In addition to the cooling-off period, the Four Guarantees in §6 provide grounds for refund if specific conditions are not met. These guarantees operate independently and in addition to statutory consumer rights.

No Refund After Cooling-Off Period (Unless Guarantees Apply)

After the 14-day cooling-off period has expired, refunds are not available except where one or more of the Four Guarantees have not been met, or where Third Mind is in material breach of these Terms.

8. User Obligations

To ensure Accord Blueprint works effectively and safely, you agree to:

  • Provide accurate information: All information supplied to the Service (business context, nominee contact details, uploaded documents, interview responses) must be accurate, current and truthful.
  • Inform nominees properly: You warrant that you have informed each nominated team member of the matters set out in §11 before they participate in an AI Interview.
  • Compliance with law: You will use Accord Blueprint only for lawful purposes and in compliance with all applicable laws and regulations in your jurisdiction.
  • No misuse: You will not use the Service to cause harm, harassment or unlawful activity. You will not attempt to manipulate, deceive or abuse the AI system.
  • No reverse engineering: You will not attempt to reverse engineer, disassemble, decompile, or otherwise discover the underlying AI models, methodologies, source code or algorithms that power Accord Blueprint.
  • Confidentiality: If you receive any confidential information about Third Mind's systems or operations, you will keep it confidential and not disclose it to unauthorised parties.
  • No scraping or automated access: You will not use automated tools, bots or scripts to access or interact with the Service in a way that circumvents normal user interaction.

Breach of these obligations may result in suspension or termination of your access to the Service and may result in Third Mind pursuing legal remedies.

9. Data and Privacy

Your privacy is important to us. This section outlines our data practices for Accord Blueprint.

Privacy Notice

Our full Privacy Notice is available at 3rdmind.co.uk/privacy. The Privacy Notice contains detailed information about data collection, processing, storage, your rights and how to exercise those rights. These Terms and the Privacy Notice form the complete data governance framework for the Service.

User Data Ownership

You retain full ownership of all User Data, including interview responses, uploaded documents, business information and any other content you provide. Third Mind does not claim ownership of your data.

GDPR — Roles

Third Mind Kft. is the controller for personal data it collects directly from participants through the Accord interface (interview content, account data, session metadata). The Customer is a separate controller for the Blueprint Report once delivered, and is responsible for its own use of the Report under GDPR.

We do not act as your processor and do not require a customer-signed Data Processing Agreement for the Accord Service. Our lead supervisory authority is the Hungarian Nemzeti Adatvédelmi és Információszabadság Hatóság (NAIH).

UK GDPR

For Customers and participants in the United Kingdom, UK GDPR applies in addition to EU GDPR. Our representative under UK GDPR Article 27 is[INSERT representative name + UK address + contact email].

Data Storage, Processing and Retention

Interview data is processed on AWS Bedrock EU (Frankfurt). All storage is in EU/EEA-hosted systems. Retention periods are set out in our Privacy Notice §7. The Customer may request deletion of all engagement data at any time by emailing hello@3rdmind.co.uk; we will confirm within 2 business days and complete deletion within 30 days, subject to legal retention obligations (e.g. accounting records under Hungarian Act C/2000 §169 retained for 8 years).

Interviews and Audio

AI Interviews are conducted via text-based interface by default. If a voice interface is used, you have the right to request that recordings be deleted immediately after the interview is transcribed, and we will honour that request. Transcriptions are treated as User Data and retained according to the Privacy Notice.

Third-Party Sub-Processors

To deliver Accord Blueprint, we use third-party processors. The current list is published at 3rdmind.co.uk/sub-processors. All sub-processors are bound by data protection contracts and are not permitted to process your data except as necessary to deliver the Service.

10. Intellectual Property

Your Report

You own all intellectual property rights in your Blueprint Report, including all text, findings, recommendations, analysis and any derivative works. You may freely use, reproduce, modify, distribute and commercialise your report without our permission or payment.

Third Mind's IP

Third Mind retains all intellectual property rights in:

  • The Accord Blueprint platform, software and systems;
  • The methodology, frameworks and processes underlying the Service;
  • All tools, materials and documentation provided in connection with the Service.

The underlying language model (Anthropic's Claude) and the cloud infrastructure (AWS Bedrock) are owned by their respective providers; we license them, we do not own them.

Limited Licence

We grant you a non-exclusive, non-transferable, limited licence to use Accord Blueprint solely to obtain your Blueprint Report. You may not licence, sublicence, share or resell access to the platform.

Feedback

If you provide feedback, suggestions or ideas about Accord Blueprint to Third Mind, we may use that feedback to improve the Service. You grant us a non-exclusive, royalty-free right to use any feedback you provide.

11. Nominee Consent and Authority

The Primary Contact warrants and represents that:

  • They have the authority to nominate team members to participate in Accord Blueprint on behalf of the Customer;
  • Each nominee has been given access to the Third Mind Privacy Notice before the interview begins;
  • Each nominee has been informed, in advance of the interview, that it is conducted by an AI system and lasts around 30–45 minutes;
  • Each nominee has been told participation is voluntary — they may decline any question or stop the interview at any time — and that their employment will not be affected by declining or by the content of their answers;
  • Nominees understand their responses will be analysed and reflected, in aggregated form, in the Blueprint Report shared with management.

Participation is processed under legitimate interest (GDPR Art. 6(1)(f)); individual consent is not the legal basis. If any nominee has been coerced or materially misled about the interview, the Primary Contact remains liable to Third Mind for any resulting claims or disputes.

11A. Employment Use Prohibition

The Customer agrees not to use the Blueprint Report, any scorecard, team map, culture map or individual-level signal derived from it as a basis for decisions affecting any identified employee's recruitment, promotion, compensation, task allocation, disciplinary outcome, restructuring or termination.

The Blueprint is an organisational-readiness assessment. It is not an HR tool, not a performance evaluation, and not a basis for decisions about individuals.

Breach of this clause voids the Four Guarantees in §6, gives Third Mind the right to terminate the engagement immediately, and may trigger reclassification of the Service as high-risk under the EU AI Act — a liability the Customer accepts by breaching this clause.

12. Limitation of Liability

Advisory Nature

The Blueprint Report is advisory and informational in nature. Third Mind does not provide legal, financial, tax or professional business advice. You acknowledge that:

  • The report is intended to inform your organisation's discussions and decision-making, not to constitute binding advice;
  • You are solely responsible for any business decisions made in reliance on the report;
  • You may wish to obtain independent professional advice before acting on recommendations.

No Liability for Business Decisions

Third Mind is not liable for any business decisions, investments, or actions taken by you or your organisation based on the Blueprint Report, including any loss of profit, revenue, opportunity or competitive advantage resulting from such decisions.

Cap on Liability

In no circumstance will Third Mind's total liability to you (whether arising from breach of contract, negligence, tort, or any other cause) exceed the total amount you paid for Accord Blueprint. This cap applies to all claims in the aggregate.

Exclusions

Third Mind is not liable for:

  • Indirect, incidental, special, consequential or punitive damages;
  • Loss of profit, revenue, data, opportunity, goodwill or business interruption;
  • Damage to reputation or claims by third parties;
  • Any loss arising from your use of the Blueprint Report or reliance on the Service.

Exceptions

This limitation does not apply to:

  • Death or personal injury caused by our negligence;
  • Fraud or fraudulent misrepresentation;
  • Breach of mandatory consumer protection laws;
  • Liability that cannot be limited by law.

13. Force Majeure

Third Mind is not liable for failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

  • Acts of God (natural disasters, extreme weather);
  • War, terrorism or civil unrest;
  • Government action or regulation;
  • Pandemic or epidemic;
  • Internet or infrastructure failure not caused by us;
  • Third-party service disruption (e.g., cloud provider outage).

If a force majeure event prevents delivery of your Blueprint Report within the 24-hour guarantee period, the guarantee is suspended for the duration of the force majeure event. If the event prevents delivery for more than 7 days, you are entitled to a full refund.

14. Governing Law and Jurisdiction

Governing Law

These Terms and your use of Accord Blueprint are governed by Hungarian law (in particular, Act V/2013 — Polgári Törvénykönyv).

Consumer Protection (mandatory)

If you are a consumer, you retain the benefit of mandatory consumer-protection rules in your country of residence, regardless of the choice of law above. This includes Hungarian Government Decree 45/2014 (II.26.) for Hungarian consumers, the UK Consumer Rights Act 2015 for UK consumers, and equivalent national transpositions of the Consumer Rights Directive 2011/83 across the EU/EEA.

Jurisdiction

You and Third Mind agree to submit to the jurisdiction of the courts of Hungary. However, under Brussels Ia Regulation (EU 1215/2012) Article 18 and equivalent UK private international law, if you are a consumer you may bring proceedings in the courts of the country where you are domiciled, and Third Mind may only sue you in those courts.

UK Customers

Nothing in this section affects your statutory rights as a UK consumer or your right to lodge a complaint with the UK Information Commissioner's Office (ICO) in addition to the Hungarian NAIH.

Online Dispute Resolution

If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr. Our contact for ODR purposes is hello@3rdmind.co.uk.

15. Dispute Resolution

Before initiating legal proceedings, we encourage you to attempt resolution through the following process:

Step 1: Direct Communication

Contact hello@3rdmind.co.uk with a detailed description of your dispute, the outcome you seek and any relevant documentation. Third Mind will respond within 10 business days with our position and attempt to resolve the matter.

Step 2: Mediation

If direct communication does not resolve the dispute within 30 days, either party may propose mediation. We will attempt to agree on a neutral mediator acceptable to both parties. Mediation costs will be shared equally unless otherwise agreed.

Step 3: Legal Proceedings

If mediation is unsuccessful or either party declines to mediate, disputes will be resolved by the courts of Hungary (or your local court if you are a consumer in an EU/EEA country or the United Kingdom).

16. Changes to These Terms

Third Mind may update these Terms from time to time. We will provide 30 days' notice of material changes by email to the Primary Contact or via the 3rdmind.co.uk website.

If you do not accept the updated Terms, you may request a refund for any unused Service within 14 days of the notice. Continued use of Accord Blueprint after the 30-day notice period constitutes acceptance of the updated Terms.

Non-material changes (typo fixes, clarifications) may be made without notice.

17. Severability and Entire Agreement

Severability

If any part of these Terms is found to be invalid, unenforceable or illegal, that part will be removed, but the remainder of the Terms will continue in full force and effect. If removal of a clause substantially frustrates the Terms, we will negotiate a replacement clause that achieves the original intent.

Entire Agreement

These Terms, together with our Privacy Notice and (for Enterprise customers) any signed Statement of Work, constitute the entire agreement between you and Third Mind regarding Accord Blueprint. They supersede any prior negotiations, representations, warranties or agreements. No prior term or condition, email, conversation or representation has any effect unless expressly restated in these Terms.

No Waiver

Third Mind's failure to enforce any right or provision does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Third Mind.

Language

These Terms are issued in English. Any translation is provided for convenience only; in the event of conflict between the English version and any translation, the English version prevails (subject to mandatory consumer-protection rules in your country of residence).

18. Assignment and Transfer

You may not assign, transfer or sublicence your rights under these Terms without Third Mind's prior written consent. Third Mind may assign our rights to a successor or affiliate without your consent.

Any attempted assignment in violation of this clause is void.
